The following definitions apply throughout these Terms of Service:

• “Service” refers to the TravelMaxx website, applications, and all related features.
• “Informational AI” refers to our chatbot, route planner, Q&A features, and any other AI-powered tools that generate text, recommendations, or insights based on user prompts. These features do not access third-party accounts or execute actions.
• “Execution Tools” refers to our automation and account-management features that require explicit user authorization and credentials to interact with third-party platforms on your behalf.
• “You” means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

2. Acceptance of Terms

By accessing this website, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

3. Description of Service

TravelMaxx provides travel management and automation utility services. Our platform allows users to aggregate loyalty data, receive AI-generated informational content, and automate specific travel-related tasks based strictly on user-initiated commands.

The Company is not affiliated with any airlines, hotels, banks, loyalty programs, or other third-party service providers. The inclusion of any third-party name, logo, or reference on our platform does not imply endorsement, partnership, or affiliation.

4. AI-Powered Features: Informational AI & Execution Tools

TravelMaxx provides two distinct categories of AI-powered features:

(a) Informational AI (e.g., our chatbot, route planner, or Q&A features): These features generate text, recommendations, and insights based on user prompts. They do not access third-party accounts or execute actions. Outputs from the Informational AI are provided for general guidance only and do not constitute professional, financial, legal, or binding travel advice. TravelMaxx is not acting in a fiduciary capacity.

(b) Execution Tools (e.g., automated booking, account sync, or task-automation features): These tools require explicit user authorization and credentials to interact with third-party platforms on your behalf. Execution Tools act strictly as a pass-through utility at your direction.

The generation of a recommendation by our Informational AI does not constitute an endorsement or mandate to utilize our Execution Tools to carry out that recommendation. If you choose to use our Execution Tools to act upon information provided by the Informational AI, you acknowledge that you are doing so voluntarily, under your own discretion, and assume all risks associated with third-party compliance as outlined in these Terms.

5. Inaccuracy & AI Limitations

AI models may generate responses that are factually incorrect, outdated, or fabricated (“hallucinations”), even when presented with apparent confidence. Outputs from the Informational AI should not be relied upon as a sole source of current legal, financial, or travel policy information. You are solely responsible for independently verifying any information, rules, or data provided by the Informational AI before making financial or travel decisions. Nothing provided by TravelMaxx — whether through our website, AI tools, email communications, or any other channel — constitutes legally binding advice.

6. Authorized Representative & Data Access

By connecting a third-party account, you explicitly direct TravelMaxx to act as your authorized representative to access, retrieve, and transmit data to and from those third-party platforms. You authorize TravelMaxx to use your provided credentials to perform tasks you explicitly initiate. You acknowledge that TravelMaxx accesses these systems solely upon your request and for your benefit, acting as a pass-through utility rather than an independent actor.

You may revoke this authorization at any time by disconnecting your third-party accounts or contacting us. Upon revocation, TravelMaxx will cease accessing the applicable third-party platforms on your behalf.

7. Manual Confirmation & Execution Safeguards

You acknowledge that TravelMaxx's Execution Tools do not operate with total autonomy. For high-risk operations — including but not limited to financial transactions, point transfers, and profile modifications — the Execution Tools will stage the action and require a final, manual confirmation from you. You are solely responsible for reviewing the staged action before granting final execution authority. TravelMaxx shall not be liable for automated actions that were manually confirmed by you.

8. User Compliance with Third-Party Agreements

You represent and warrant that your use of TravelMaxx, and the actions you authorize TravelMaxx to execute on your behalf, comply with all agreements you have with third-party providers. TravelMaxx acts strictly as an execution tool at your direction. It is your sole responsibility to review your third-party loyalty programs, financial accounts, and other service agreements to ensure your authorized use of our automation tools aligns with their policies.

You further represent and warrant that all information, account credentials, and documentation you provide to TravelMaxx are accurate, truthful, and legitimately yours. You will not use TravelMaxx to submit false, fabricated, or misleading information to any third party.

9. Security & Credential Handling

TravelMaxx utilizes industry-standard encryption for data transmission. We do not permanently store your third-party plaintext passwords on our servers. Credentials are used ephemerally to execute your requested tasks or are stored locally on your device via secure tokens. You are responsible for maintaining the security of your own devices and TravelMaxx account.

10. Limitation of Liability

To the maximum extent permitted by applicable law, TravelMaxx shall not be liable for any indirect, incidental, special, or consequential damages whatsoever (including, but not limited to, damages for loss of third-party loyalty points, account access, travel benefits, loss of data or profit, or business interruption) arising from your use of or inability to use the Service, even if TravelMaxx or an authorized representative has been notified of the possibility of such damages.

In no event shall TravelMaxx's total aggregate liability to you for any claims arising under these Terms exceed the total amount you paid to TravelMaxx in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In these jurisdictions, each party's liability will be limited to the greatest extent permitted by law.

11. “As Is” & “As Available” Disclaimer

The Service is provided to you “as is” and “as available” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, TravelMaxx expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limiting the foregoing, TravelMaxx makes no warranty or undertaking, and makes no representation of any kind, that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error free, or that any errors or defects can or will be corrected.

12. Use License

Permission is granted to temporarily download one copy of the materials on TravelMaxx's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials.
• Use the materials for any commercial purpose or for any public display (commercial or non-commercial).
• Attempt to decompile or reverse engineer any software contained on TravelMaxx's website.
• Remove any copyright or other proprietary notations from the materials.
• Transfer the materials to another person or “mirror” the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by TravelMaxx at any time.

13. Service Modification & Termination

TravelMaxx reserves the right to modify, suspend, or discontinue any feature of the Service — including specific Execution Tool integrations with particular third-party platforms — at any time, without prior notice, and for any reason. This includes the right to instantly disable automation functionality for any specific airline, bank, hotel, loyalty program, or other service provider if security measures, third-party policies, or operating conditions change.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Service will cease immediately.

14. Fees

If you are making a purchase from outside your local country, your bank may convert your payment amount to your local currency and charge you a conversion fee. Rates are determined by your bank, not TravelMaxx. The amount shown on your billing statement may differ from the amount shown on TravelMaxx's website at the time of purchase. Your bank may also charge a foreign transaction fee. We urge users to check with their banks prior to making an international purchase. For purchases made on TravelMaxx's website, any applicable fees will be fully disclosed prior to payment.

TravelMaxx has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by TravelMaxx of the site. Use of any such linked website is at your own risk. TravelMaxx does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on any sites linked to this site.

16. Revisions & Errata

The materials appearing on TravelMaxx's website could include technical, typographical, or photographic errors. TravelMaxx does not warrant that any of the materials on its website are accurate, complete, or current. TravelMaxx may make changes to the materials contained on its website at any time without notice. TravelMaxx does not, however, make any commitment to update the materials.

17. Indemnification

You agree to indemnify, hold harmless, and defend TravelMaxx and its affiliates, subsidiaries, officers, directors, employees, agents, and licensors at your expense against any and all third-party claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs, and expenses (including, without limitation, reasonable attorneys' fees and other dispute resolution expenses) incurred by TravelMaxx arising out of or relating to (a) breach of any term of these Terms, (b) violation of any law, rule, or regulation, or the rights of any third party, (c) your use of or access to TravelMaxx's website, services, or intellectual property, or (d) the inaccuracy of any information, credentials, or documentation you provide to TravelMaxx.

18. Disputes Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

19. Severability & Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

20. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. Any claim relating to TravelMaxx's website or Service shall be governed by the laws of the State of Delaware, excluding its conflicts of law rules. Your use of the Service may also be subject to other local, state, national, or international laws.
